Article I – Name

The name of this organization shall be Starbase48, a Star Trek and Science Fiction Fan & Social Club (“the Club”).

Article II – Purpose

The purpose of Starbase48 is to:

Promote appreciation of Star Trek and science fiction.
Encourage friendship and fellowship among members.
Organize social gatherings, meetings, conventions, educational events, and charitable activities.
Foster a welcoming, inclusive, and family-friendly community.
Support creativity through fan art, fan fiction, gaming, costuming, model building, and related hobbies.

The Club operates exclusively as a nonprofit social organization.

Article III – Membership

Membership is open to anyone who:

Supports the mission of Starbase48.
Agrees to follow the Code of Conduct.
Pays applicable membership dues, if required.

Membership Levels

The Club may establish membership tiers such as:

Cadet
Officer
Captain

Benefits of each tier shall be determined by the Executive Board and published on the Club website.

Article IV – Membership Rights

Members in good standing may:

Attend Club meetings and events.
Vote in Club elections (where eligible).
Hold elected office (if eligible).
Participate in Club activities.
Receive member benefits according to their membership level.

Article V – Dues

Membership dues shall be established by the Executive Board.

Current membership rates shall be published on the official Starbase48 website.

Changes to dues require:

Majority approval of the Executive Board, and
Thirty (30) days’ notice to members before taking effect.

Article VI – Officers

The elected officers of Starbase48 shall consist of:

Commander (President)
Executive Officer (Vice President)
Operations Officer (Secretary)
Chief Financial Officer (Treasurer)

Additional appointed officers may include:

Communications Officer
Membership Officer
Events Officer
Webmaster
Quartermaster
Social Media Officer

Article VII – Duties of Officers

Commander

The Commander shall:

Preside over meetings.
Represent the Club publicly.
Appoint committee chairs.
Ensure Club operations follow these bylaws.

Executive Officer

The Executive Officer shall:

Assist the Commander.
Assume duties in the Commander’s absence.
Coordinate committees.

Operations Officer

The Operations Officer shall:

Maintain meeting minutes.
Keep official records.
Maintain membership documentation.

Chief Financial Officer

The Chief Financial Officer shall:

Maintain financial records.
Prepare annual financial reports.
Collect dues.
Manage approved expenditures.

Article VIII – Elections

Officers shall be elected every two (2) years.

Voting shall be conducted:

In person,
Electronically,
Or by another approved voting method.

A simple majority determines election.

Vacancies may be filled by appointment until the next election.

Article IX – Meetings

Regular meetings shall be held as determined by the Executive Board.

Special meetings may be called by:

The Commander
A majority of the Executive Board
Or by petition of at least ten percent (10%) of the voting membership.

Article X – Executive Board

The Executive Board shall consist of:

Elected Officers
Any appointed officers designated by the Commander

The Board manages:

Finances
Events
Membership
Club operations
Strategic planning

Article XI – Committees

The Commander may establish standing or temporary committees, including:

Events Committee
Membership Committee
Charity Committee
Convention Committee
Technology Committee
Website Committee
Merchandise Committee

Committee chairs report to the Executive Board.

Article XII – Financial Management

Club funds shall be used solely for Club purposes.

Financial records shall be available for review by the Executive Board.

Annual financial summaries shall be presented to the membership.

Article XIII – Code of Conduct

All members shall comply with the official Starbase48 Code of Conduct.

Failure to comply may result in:

Warning
Suspension
Removal from events
Termination of membership

Disciplinary actions may be appealed to the Executive Board.

Article XIV – Conflict of Interest

Officers shall disclose any financial or personal interests that could improperly influence Club decisions.

Officers with conflicts shall abstain from voting on related matters.

Article XV – Amendments

These bylaws are intended to remain current while providing stability for the Club.

Regular Review

The Executive Board shall conduct a comprehensive review of these bylaws at least once every five (5) years to ensure they continue to meet the needs of the Club.

Amendments Before the Five-Year Review

These bylaws may also be amended at any time when necessary.

An amendment may be proposed by:

A majority of the Executive Board, or
A petition signed by at least ten percent (10%) of voting members.

Proposed amendments shall be provided to the membership at least 30 days before the vote.

Adoption of an amendment requires a two-thirds (2/3) vote of members present and voting, or a two-thirds majority of valid electronic ballots if voting is conducted electronically.

Unless otherwise specified, approved amendments take effect immediately upon adoption.

Article XVI – Dissolution

Should Starbase48 dissolve, any remaining assets shall be distributed according to applicable law and any governing nonprofit requirements in the jurisdiction where the Club is organized.

Parliamentary Authority

Meetings shall be conducted in an orderly and fair manner. The Executive Board may use Robert’s Rules of Order, Newly Revised, as a guide for parliamentary procedure when appropriate, except where these bylaws provide otherwise.

These bylaws are designed to support Starbase48 as it grows while allowing the membership to adapt them over time through a structured five-year review cycle or earlier by member vote when needed.
